These Terms of Service put forth the legally binding terms and conditions for your use of the Site/application and the Services.

Acceptance of Terms

You must be of legal age to enter into a binding agreement in order to accept the Agreement. If you disagree to be bound by any part of these terms of service, you should not use the services provided by Engage AI and must cease any use of the services immediately.

By using the services in any manner, you agree to these terms of service and all other operating rules, procedures and policies that may be published from time to time on the site/application by us, each of which is incorporated by reference and may be updated from time to time without notifying you.

You can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.

Description of Service

Engage AI is an advanced artificial intelligence platform designed to streamline and enhance the recruiting process for businesses of all sizes.Engage-AI is currently launched in Canada, US and India. Our Service leverages cutting-edge AI technology to assist with various stages of recruitment, offering a comprehensive solution that includes the following features:

(i) Customized Job Descriptions: Allows you to curate compelling job descriptions that encapsulate the responsibilities with job specifications – reflecting company culture and needs.

(ii) Smart Resume matching: You can upload resumes, sit back and relax while our AI engine does the heavy lifting , matching them to your customized Job Description & saving you hours of screening time.

(iii) AI Powered Resume scoring: Our AI will give you a clear picture of how well the candidates align with what you are looking for. Our scoring system helps you priortize the most qualified applicants with ease.

(iv) In-depth Resume analysis: Using semantic search, we go beyond basic keyword matching, providing a detailed breakdown of each resume, highlighting key skill and experience compared to your Job description.

(v) Interview question prompts: We use AI- suggested prompts based on the candidate’s resume and job requirements for challenging interview questions.

Our Service is designed to be user-friendly and accessible, providing a scalable solution that can adapt to the changing needs of your organization. By automating routine tasks and leveraging the power of AI, Engage AI allows recruiters to focus on strategic decision-making and building relationships with top talent.

 

User Sign up Obligations

To avail our Service, you will need to create an account. You agree to provide it with accurate, complete, and updated required information. You are responsible for any activity that occurs in your account. We will be storing all the user data, resumes, candidate details for 1 year from date of upload.All the AI is using current AI technology (DeepInfra platform) which is new and prone to errors and needs to be trained based on user data.

If you represent an organisation and wish to use the Services for corporate internal use, we recommend that you, and all other users from your organisation, sign up for user accounts by providing your corporate contact information. In particular, we recommend that you use your corporate email address.

 

It is your responsibility to maintain the confidentiality of login activities, as you will be held responsible in case of any breach of these terms. You must notify Engage AI immediately if the confidentiality of your login details is compromised or if your account has been accessed/hacked unlawfully. Engage AI cannot and will not be liable for any damage or loss arising from your failure to comply with this security obligation.

If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if Engage AI has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Engage AI may terminate your user account and refuse current or future use of any or all of the Services.

 

RESTRICTIONS TO USE

 

In addition to all other terms and conditions of this Agreement, you shall not:

(i) transfer the Services or otherwise make it available to any third party;

(ii) provide any service based on the Services without prior written permission;

(iii) allow user licenses to be shared or used by more than one individual other than by way of reassigning the user license to a new user;

(iv) except as permitted under applicable law, attempt to disassemble, reverse engineer or decompile the Services;

(v) use the third party links to sites without agreeing to their website terms & conditions;

(vi) post links to third party sites or use their logo, company name, etc. without their prior written permission;

(vii) attempt to gain unauthorized access to the Services or its related systems or network;

(viii) use the Services in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of Engage AI;

(ix) use the Services to send or store material containing software viruses, worms or other harmful computer codes, files, scripts or programs;

(x) use the Services in any manner that interferes with or disrupts the integrity, security or performance of the Services, its components and the data contained therein;

(xi) host, display, upload, modify, publish, transmit, store, update or share any information that belongs to another person or entity and to which you do not have any right, including personal or confidential information of any person or entity with respect to which you do not have consent or permission from such person or entity;

( xii) violate any applicable local, state, national or international law;

(xiii) use the Services for any form of competitive or benchmarking purposes; and

(xiv) remove or obscure any proprietary or other notices contained in the Services;

(xv) use our Services in any manner that threatens the unity, integrity, defence, security or sovereignty of Canada, friendly relations of Canada with other countries, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other countries;

(xvi) create a false identity to mislead any person as to the identity or origin of any communication;

(xvii) use the services for transmitting information that is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person; or

(xviii) use the services in a manner that relates to or encourages any activity prohibited by law in the country.

 

 

Spamming and Illegal Activities

You agree to be solely responsible for the contents of your transmissions through the Services. You agree not to use the Services for illegal purposes or for the transmission of material that is unlawful, defamatory, insulting, harassing, libelous, invasive of another’s privacy (including bodily privacy), abusive, threatening, harmful, vulgar, pornographic, paedophilic, harmful to children, obscene, racially or ethnically objectionable, or is otherwise objectionable, offends religious sentiments, promotes racism, contains viruses or malicious code, or that which infringes or may infringe intellectual property or other rights of another. You agree not to use the Services for the transmission of “junk mail”, “spam”, “chain letters”, “phishing” or unsolicited mass distribution of email. We reserve the right to terminate your access to the Services if there are reasonable grounds to believe that you have used the Services for any illegal or unauthorized activity.

 

 

Intellectual Property

 

Engage AI grants you certain limited, revocable, non-exclusive, non-sublicensable rights to use the Engage AI App and Services. You will also grant us certain rights to your Content; however, Engage AI does not claim any ownership of the information you submit through your Account or our Services.
Our Services and materials incorporated by Engage AI on our Services (“Material”) are protected by patents, copyrights, trade secrets or other proprietary rights. Some of the logos, characters, or other images incorporated by Engage AI in our Services are also protected as registered or unregistered trade names, trademarks, owned by Engage AI or others (“Trademarks”). Engage AI owns the title, copyright, and other intellectual property rights in the Material, Engage AI App and the Services. By using Engage AI, you do not acquire any ownership rights in the Services or any Material contained therein. Unless you have our express permission, you cannot use our trademarks, copyrights (or any similar marks), logos, domains, trade dress, trade secrets, patents, and other intellectual property rights. Engage AI respects the (IP)intellectual property rights of others and asks you to do the same. We grant you a limited, non-exclusive, revocable, non-sublicensable, and non-transferable license to use our Services, subject to and following our Terms, no rights or permissions are granted to you by implication except for the rights expressly granted to you. Without our prior written consent, you cannot transfer any of your rights or obligations under our Terms to anyone else.
Engage AI does not attempt to claim ownership of the Content displayed, shared, published, sent, promoted, used, or promoted provided by you, including through the channels, Communities. You, with this, permit Engage AI to use the Content to provide the Services. For all Content you submit to the platform, you license Engage AI to operate, develop, deliver, promote, and improve the Services and internally used for researching and creating new services, features and products. While we’re not required to do so, we may access, screen, review and delete your Content at any time and for any reason, including providing and developing the Services or if we think your Content violates the provided Terms and the Acceptable Use Policy. However, you alone remain responsible for the Content you create, post, upload, store, or send through the Service.
Engage AI will consider anything you provide to us, including, without limitations, any feedback, ideas, suggestions, or contributions to this platform without having it available for use, free of any obligations to you. You agree that we will own all the rights to any materials or items we develop based on suggestions or feedback.
We, and our third-party partners may place advertisement/promotional contents on the platform, which may sometimes appear near, over, between, or in your Content. This may include personalized advertising. For more information, please see our privacy policy.

 

Privacy

 

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information.

 

Fees and Payments

Upon subscribing to a plan, you will be billed automatically on a monthly, quarterly, half-yearly, yearly, one time payment or payment with customised plan, depending on your chosen billing cycle and subscription start date. Fee will include product fee, taxes and payment platform fee.

 If you decide to cancel your subscription, this will stop the automatic renewal, but you will retain complete access to the platform until the end of your current billing period.If you cancel your subscription within the first 7 days after opening your account, you may be eligible for a full refund.

Any transaction fees incurred from payment gateways, conversion rates, bank commission, or as a result of statutory requirements will be deducted from the refund amount.

If you have not downgraded to a free plan and if you have not informed us that you do not wish to renew the subscription, you will be presumed to have authorized Engage AI to charge the subscription fee to the Payment method last used by you.

From time to time, we may change the price of any Service or charge for use of Services that are currently available free of charge. Any increase in charges will not apply until the expiry of your then current billing cycle. You will not be charged for using any Service unless you have opted for a paid subscription plan.

In the event any tax such as GST, VAT, sales tax or the like is chargeable by Engage AI in accordance with any local, state, provincial or foreign laws with respect to your subscription to our Services (“Taxes”), Engage AI will invoice you for such Taxes. You agree to pay Engage AI such Taxes in addition to the subscription fees. Engage AI shall provide you with an invoice in the format prescribed by the applicable local, state, provincial or foreign laws to help you avail the applicable input tax credit for the Taxes so paid.

Termination

We may add or delete features or functionalities, and also suspend the Services, with or without notice. We strive that you will always continue to share good vibes with our Services, but we may choose to terminate the relationship with you.

If you are using our free Services, we may terminate your relationship with us by simply ceasing to use the Services. Under applicable law, Engage AI can terminate your rights under our platform without notice, including, without limitation, by suspending you, blocking or terminating your Account. And without departing from our general right, if you are in breach of our Terms or policies, or if we decide not to provide the Services in certain locations or to certain devices. Engage AI reserves the right to discontinue or modify, permanently or temporarily, all or any part of its Services or facilities with or without notice or to generate general guidelines and limitations on their use.

Limitation of Liability

To the maximum extent permitted by law, Engage AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service.

Indemnification

You agree to indemnify and hold harmless Engage AI, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney’s fees and costs) arising out of or relating to any claims that you have used the Services in violation of another party’s rights, in violation of any law, in violations of any provisions of the Agreement , or any other claim related to your use of the Services, except where such use is authorized by Engage AI.

Governing law and Jurisdiction

Any controversy or claim arising out of or relating to the Terms shall be settled and adjudicated exclusively by the courts of Canada in accordance with the laws of Province of Alberta without regard to conflict of law principles.

 

 

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. ENGAGE AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. ENGAGE AI MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM ENGAGE AI, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT.

 

Entire Agreement

 

This Agreement and any policies we may adopt in connection with the Services hereto constitute the complete Agreement between the parties and supersedes all previous or contemporaneous agreements or representations, verbal or written, concerning the subject matter of this Agreement.
